Who Gets Charged When a Company is Accused?
Here’s where many entrepreneurs get it wrong. When a company is accused of wrongdoing—be it tax issues, fraud, or misrepresentation—the law holds the directors accountable, not the shareholders. It's a crucial distinction.
In simple terms, a shareholder owns the company, while a director runs the company. If the company makes a mistake, the law will come knocking on the director’s door. Ownership does not equal operational liability in the eyes of the law.
The Common (and Costly) African Mistake
Across the continent, I’ve seen one recurring habit: putting your wife or husband as a director "just to make it look family-owned." It sounds romantic, but legally, you are putting them directly in the line of fire.

Even if your spouse has no idea what’s happening in the day-to-day business, they can be arrested and charged alongside you.
Legally, you’re not saying, "Babe, let’s build an empire together." You're saying: “If I go down, you’re coming with me.”
A Smarter, Safer Structure
A much safer approach is to make your spouse a shareholder, not a director. This way, they still have ownership and can make decisions if something happens to you, but they won't be dragged into court for operational matters they didn't supervise. You can even make them a bank signatory for transparency without exposing them to legal risk.
Business and love must work hand in hand—but not hand in handcuffs.
Entrepreneurship is risky even for the innocent. You can do everything by the book and still find yourself in court. The law doesn’t care about your wedding vows or good intentions; it cares about your paperwork. The pain of children missing both parents because of a company structuring mistake is a reality we must all work to avoid.
Love your spouse deeply. Trust them fully. But in business, protect them legally.
